General Terms & Conditions of Sale

The present General Terms and Conditions of Sale apply, with the exception of the case whereby a separate contract has been concluded between the parties in the context of a specific sale or rendering of services. In this case, the stipulations of the specific contract have primacy over the conditions below.

CONFIRMATION

All transactions are considered as valid and confirmed subject to the following conditions:
- Reception of the signed offer within 48 hours of sending, or
- Payment of a first deposit of 30% minimum on signature of the contract.
- The balance must be settled 1 month before the date of the event.

RATIFICATION

You declare that you have full knowledge of and accept the present General Terms and Conditions of Sale before placing your order. The signature of the offer or the payment of the first deposit acts as definitive and irrevocable acceptance of these General Terms and Conditions of Sale.

CONDITIONS OF TOTAL OR PARTIAL CANCELLATION

All cases of withdrawal or cancellation due to the client, regardless of the cause with the exception of force majeure, immediately release MMI of any obligations towards the client, who cannot claim any postponement of the event to another date or the refund of any amounts already paid. These are kept by MMI as contractual compensation for the cancellation of the contract. Due to the probability that MMI will not be able to organise another event in the period in which the event was planned, the client will pay MMI as lump sum compensation, and not as a penalty, the following amounts depending on the cancellation date:

LATE PAYMENT

In the event of partial or total default on the invoiced services, a fixed penalty of 10% of the total amount outstanding will be applied, in addition to a penalty of 2.50% per month of late payment, starting from the day following the due date of payment. The penalty is calculated on the outstanding amount due, excluding VAT, and starts from the expiry date of the invoice without any form of formal notice. In addition, defaulted payments can incur damages payable to MMI.
All costs incurred by debt recovery (use of a lawyer, bailiff or debt recovery company) are to be paid for by the debtor. All recommended delivery letters and notifications to the attention of the debtor will be invoiced to the debtor under the title “Administrative costs of the current letter” at the price of 15.00 Euros excl. VAT.

FORCE MAJEURE

The client is informed that sporting events can be modified either by circumstances independent of the control of MMI, or by decisions taken by the authorities in charge. Under these conditions, MMI can not be held responsible for eventual changes or cancellations. MMI can exceptionally be led to change or cancel the programme of services in the following circumstances:
- If safety conditions demand it;
- in the event of normally unpredictable circumstances (weather or others)
- in the event of administrative or regulatory prescriptions
- force majeure.
In such a situation, MMI will take all the necessary measures to offer one or several alternative services. Regarding driving courses, MMI does its utmost to ensure the correct maintenance of its vehicles, but cannot predict some forms of mechanical failure and therefore reserves the right to modify the programme if a mechanical failure occurs on one or several vehicles.
MMI is in no way liable in the event of such a procedure.

PRICE / PAYMENT CONDITIONS

The prices given on the site are indicative, in €uros, excluding and including VAT (applied at the current legal rate) and we reserve the right to change them at any moment and without prior information depending on variations to our purchasing prices. A summary of the services included in the prices is mentioned in each proposal.
All orders, regardless of their origin or their place of execution, are to be paid in €uros… Either by cheque payable to MMI or Monaco Media International; the cheque is paid in immediately after reception, unless a special prior arrangement is concluded.
Or by bank transfer to the account details on the invoice: a swift or transfer copy can be requested as proof of payment.

Payment of services is programmed as follows:
- First deposit of 30% of the total amount on presentation of the invoice during signature of the contract/offer
- Second deposit of 40% of the total amount on presentation of the invoice.
- Balance of 30% of the total amount on presentation of the invoice at least 1 month before the event.
In the event that the contract is signed less than 60 days before the start of the event, the two deposits are replaced by a single deposit of 50% of the total amount on presentation of the invoice, with the balance 50% to be paid at least a week before the event. Failure to pay the first deposit or the sole deposit will mean that MMI cannot guarantee the services, in accordance with the “Cancellation” clause stipulated above. However, the client remains engaged by the obligations listed above, notably as regards payment conditions and the conditions of cancellation and compensation.

INSURANCE

MMI has third party cover for all event organisation activities (racing lessons, Monaco Grand Prix …). Personal injury is therefore entirely covered according to the conditions of MMI’s insurance policy.
However, material damage due to bad use by the clients is not covered. The clients therefore undertake to refund any damage caused to the vehicles and track infrastructure according to a price quotation. Each driver is responsible for the material damage to the vehicle. MMI, in order to ensure that each user is aware of this clause, reserves the right to request the clients to sign a discharge form on the day and location of the operation.

APPLICABLE LAW – LITIGATION

Any disputes arising from the interpretation and execution of the present terms will be settled exclusively by the law courts of Monaco, failing an amicable settlement by both parties.
